Terms of Service

These terms apply when you use heysheep.sg or any software or service from HeySheep Technologies Pte Ltd (UEN 202611374C), 10 Anson Road, #33-03 International Plaza, Singapore 079903 ("HeySheep", "we"). That includes Collie and the Hey family: HeyDocs, HeyInvoice, HeyShop and HeyPOS. By using them you agree to these terms. If you have a signed agreement, quote or order form with us, it takes precedence wherever it differs from these terms.
1. Your account
You are responsible for the people you give access to, for keeping passwords and sign-in codes safe, and for what is done under your account. Tell us straight away at contact@heysheep.sg if you think your account has been misused.
2. Acceptable use
You must not use our software or services to break the law, infringe others' rights, send spam or messages people did not agree to receive, spread malware, try to get around security or usage limits, or interfere with other customers. We may suspend access that puts our customers, our platform or our partners at risk, and we will tell you why.
3. Your data
The data you and your customers put into our software stays yours. We use it only to provide and support the service for you, as described in our privacy notice and any data terms we have agreed with you, in line with Singapore's Personal Data Protection Act 2012 (PDPA). You are responsible for having the right to give us that data and for telling your own customers how you use it.
4. Third-party services
Some features connect to services run by other companies, such as payment providers (for example HitPay or PayPal), IRAS and InvoiceNow access points, and Meta's WhatsApp Business Platform. When you connect one, your use of it is also governed by that provider's own terms, and the provider bills you directly for its fees. We are not responsible for a third-party service being unavailable or changing.
5. WhatsApp order updates (HeyShop)
HeyShop can send order updates to your customers on WhatsApp from your own WhatsApp Business account, which you connect through Meta's sign-up in the HeyShop portal. If you use this feature:
- The WhatsApp Business account, phone number and display name belong to you. You accept Meta's WhatsApp Business terms and the WhatsApp Business Messaging Policy when you connect.
- Meta bills your WhatsApp account directly for the messages it delivers, using the payment method you add in WhatsApp Manager.
- Messages go only to customers who agreed to receive updates on WhatsApp, for example by ticking the box at checkout. You are responsible for that consent and for the content of messages you send from the portal.
- We use data from Meta (your WhatsApp account details, message statuses, message templates and your customers' replies) only to send your updates and show them to you in the portal. We do not sell it or use it for advertising.
- You can disconnect at any time in the HeyShop portal or in Meta's settings. HeyShop then stops sending, and we delete the stored access to your WhatsApp account.
6. Fees
Fees, billing periods and what is included are set out in your quote or order form. Unless that document says otherwise, invoices are due within 30 days, and amounts are in Singapore dollars and exclude GST.
7. Our software and your feedback
We own our software, designs and documentation. While your subscription or engagement is active, you may use them for your business. Work we build specifically for you is covered by your agreement with us. If you send us ideas or feedback, we may use them to improve our products without obligation to you.
8. Availability and changes
We work to keep our services available and secure, but we cannot promise they will never be interrupted. We may improve or change features over time. If a change materially reduces what you rely on, we will give you notice first.
9. Warranties and liability
Apart from what is set out in your agreement with us, our software and services are provided "as is". To the extent the law allows, we are not liable for indirect or consequential loss, such as lost profits or lost data you could have backed up, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
10. Ending the service
Either of us may end a subscription as set out in your agreement or quote. If you break these terms in a serious way and do not fix it after we tell you, we may suspend or end your access. When a service ends, you can ask us within 30 days to export your data; after that we delete it, unless the law requires us to keep it.
11. Confidentiality
Each of us keeps the other's confidential information private and uses it only for our work together.
12. Changes to these terms
We may update these terms. The date at the top shows the latest version, and we will tell customers about important changes before they take effect.
13. Governing law
These terms are governed by the laws of Singapore, and the courts of Singapore have jurisdiction over any dispute.
